Terms of service

1. The agreement

These terms are an agreement between you and [legal entity name] (“Tellnod”, “we”). By connecting Tellnod to an AI assistant, creating a workspace or paying for a plan, you accept them on behalf of yourself and the business you represent. You must be at least 18 and able to enter into a contract. Our Acceptable Use Policy and Privacy Policy are part of these terms.

2. The service

Tellnod lets you import contacts, build segments, draft and preview campaigns, and send them, from inside a supported AI assistant such as Claude or ChatGPT. Tellnod is not made, sponsored or endorsed by those assistants’ providers, and your use of them is governed by their own terms.

The service is in development. Features described as planned, beta or experimental may change or be withdrawn.

3. How sending works, and who decides

Every live send takes two steps. The AI can prepare a send, which freezes the audience and shows the number of recipients, the estimated cost and the send time on a confirmation card. The send is scheduled only when a person presses Confirm on that card. The AI model cannot press it. You can cancel a scheduled send until it starts sending.

You are the sender. You decide what is sent and to whom, and you are responsible for each campaign you confirm, including its content and your right to email each recipient. AI-drafted text can be wrong: review the preview before you confirm.

4. Your obligations

You agree to:

• Send only to people who have given the consent your recipients’ laws require, and keep a record of it. Declare the lawful basis when you import a list.
• Comply with the laws that apply to your messages, including CAN-SPAM in the United States, the GDPR, UK GDPR and ePrivacy rules in Europe, and CASL in Canada.
• Provide an accurate sender name and a valid postal address, which we add to every campaign footer, and never use misleading subject lines.
• Keep your sign-in secure and tell us promptly about any unauthorized use.
• Follow the Acceptable Use Policy.

We add an unsubscribe link, a one-click unsubscribe header and your postal address to every campaign, and we honor unsubscribes immediately. You may not remove or hide them.

5. Sending limits and automatic pauses

To protect deliverability for every customer:

• New workspaces start with a daily sending limit that increases over time [ramp schedule].
• We recommend sending from your own domain verified with SPF, DKIM and DMARC. Until you verify one, live sending uses the shared domain tellnodmail.com, limited to 200 recipients per campaign and 1,000 emails a month.
• Before a workspace's first live send, we review the account.
• Test sends go only to your own verified address, up to 20 a day.
• We pause sending automatically when a workspace reaches a bounce rate of 2% or a complaint rate of 0.1%. We will tell you why and how to resume.

6. Plans, trial and payment

Each new workspace receives a 14-day Starter trial without a payment card. When the trial ends, the workspace moves to the Free plan unless you choose a paid plan; no data is deleted. Current plans and limits are on our pricing page.

Paid plans are purchased only on our website and processed by Stripe. They renew monthly until cancelled, and you can cancel before the next renewal. Fees are exclusive of taxes. Except where the law requires otherwise, fees already paid are not refundable. We will give at least 30 days’ notice of a price change.

WhatsApp message fees are billed to you directly by Meta. Our WhatsApp add-on fee covers the platform only.

7. Your data

You keep all rights to your contacts and content. You grant us the rights needed to host, process and send it to provide the service. We process personal data in your content as your processor, as described in the Privacy Policy and our data processing agreement [DPA to be published]. You can export or delete your workspace data at any time.

8. Our property

Tellnod, its software, design and brand belong to us or our licensors. Components we publish under an open-source license, such as preview-kit, are governed by that license. If you send us feedback, we may use it without obligation to you.

9. Suspension and termination

We may pause sending or suspend a workspace when we reasonably believe it breaches these terms or the Acceptable Use Policy, endangers other customers’ deliverability, or exposes us to legal risk. Where we can, we will warn you in advance and explain how to fix the problem. You may stop using Tellnod and delete your workspace at any time. Sections on your data, our property, disclaimers, liability and governing law survive termination.

10. Disclaimers

The service is provided “as is” and “as available”. We do not promise that every email will be delivered or reach the inbox, that AI-generated drafts are accurate or lawful, or that the service will be uninterrupted. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim, or US$100 if you used only free plans. [Confirm caps and carve-outs with counsel]

12. Indemnity

You will defend and indemnify us against third-party claims arising from campaigns you confirm, the contact lists you import, or your breach of these terms or applicable law.

13. Governing law and disputes

These terms are governed by the laws of [jurisdiction], and disputes go to the courts of [venue], unless the law of your country requires otherwise.

14. Changes and contact

We may update these terms. We will post changes here and, for material changes, email account holders at least 30 days before they take effect. Questions: support@tellnod.com.
